About Us Numbro Consulting is a boutique financial consulting firm offering CFO services, investment banking, transaction advisory services. We are expanding our regulatory and compliance team and are looking for a Company Secretary who is not just technically sound but also proactive and detail-oriented. Role Objective We are seeking a full-time qualified Company Secretary with 1–3 years of experience to handle end-to-end secretarial, FEMA, and transaction documentation responsibilities. The role will involve working directly with senior management, legal counsel, and clients on various corporate law and regulatory matters. The ideal candidate should aspire to stay long-term and grow with the organization. Key Responsibilities Corporate Law & Compliance: Drafting and vetting of Shareholders Agreements (SHAs) , Share Purchase Agreements (SPAs) , Term Sheets , and MOUs . Ensuring timely ROC filings , maintenance of statutory registers, and records. Handling Board Meetings , Annual General Meetings , drafting Board Resolutions , Minutes , and related documentation. Advising on matters related to the Companies Act, 2013 , including issuance of securities, change in directors, registered office, etc. FEMA and RBI Compliances: End-to-end handling of FEMA compliance for foreign direct investments (FDIs), outbound investments, and ECBs. Filing of FC-GPR , FC-TRS , and other RBI forms using FIRMS and SMF portals. Liaising with AD banks for FIRC/AD approvals, LRN numbers, and remittance-related documentation. Investor Relations & Reporting: Preparing investor reports, board decks, MIS, and compliance trackers. Ensuring timely disclosures and reporting in line with shareholders’ agreements. Process & Compliance Management: Creating SOPs, compliance calendars, and trackers for multiple entities. Interfacing with auditors, legal counsel, and regulators. Ensuring risk-free governance and advising on best practices. Ideal candidate profile Must-Have Qualifications Qualified Company Secretary (CS) with 1–3 years of relevant experience. Hands-on experience in Companies Act, FEMA, RBI filings , and transaction-related secretarial work. Skills & Attributes Strong drafting and legal interpretation skills. Ability to multi-task across multiple assignments and entities. Proficiency in MS Excel, Word, and MCA/RBI compliance portals. High sense of ownership, integrity, and commitment to timelines. Preferred but Not Mandatory Exposure to private equity/VC-backed companies. Experience working in a startup or consulting environment.
