Kazam, a leading player in the EV infrastructure and energy solutions sector, is looking for a Compliance Manager( Company Secretary & Legal Officer) to ensure compliance with corporate laws, regulatory requirements, and legal frameworks. This role will play a critical part in managing corporate governance, mitigating legal risks, and supporting business operations with expert legal counsel.Key Responsibilities:Company Secretarial Duties:Ensure compliance with corporate laws, including Companies Act, SEBI regulations, and FEMA guidelines.Organize board and committee meetings, including scheduling, preparing agendas, and recording minutes.Maintain statutory records and filings with regulatory bodies such as MCA, SEBI, RBI, and others as applicable.Draft and review corporate policies, resolutions, and agreements to align with business objectives.Liaise with regulatory authorities and ensure timely compliance with industry-specific norms.Stakeholder management, including coordination with legal teams and investors to facilitate efficient and successful fundraising activities.Legal Responsibilities:Provide strategic legal guidance on corporate, commercial, and contractual matters.Draft, review, and negotiate agreements, MoUs, NDAs, vendor contracts, and other key legal documents.Manage intellectual property rights, trademarks, and legal disputes to safeguard business interests.Conduct legal risk assessments and ensure adherence to evolving regulatory frameworks.Handle employment law matters, company policies, and dispute resolutions in collaboration with HR.Coordinate with external legal advisors, consultants, and regulatory bodies as required.Qualifications & Skills:Qualified Company Secretary (CS) with a Law Degree (LLB) preferred.In-depth knowledge of Companies Act, SEBI regulations, FEMA, labour laws, and other relevant legislations.Strong communication, negotiation, and problem-solving skills.Ability to work independently in a fast-paced, growth-oriented environment.
