Role & responsibilities Ensure 100% timely compliance of all applicable regulations Discharge of Company Secretary activities incl. conducting Board, Committees and Shareholder meetings and advise Board & Senior Management on statutory implications of applicable Statutory Acts, Rules and Regulations on continuous basis and filings of necessary forms and returns with Government Authorities Reply & resolve all regulatory notices Monitoring compliance through a compliance monitoring tool and coordinating with other departments to ensure compliance . Timely Drafting / review of all types of contracts & other documents Drafting of Affidavits, declarations, letters & other communications as may be required from time to time Contract repository Issuing of legal notices and filing of complaints including cheque bounce cases, defending the Company or person responsible nominated by the Company in regulatory matters and other legal matters responding effectively to stop sale notices and show cause notices and assisting business teams to get the issues closed with Regulatory authorities Vet and clear pack shots of the products to ensure the compliances with Legal Metrology, Fertilizer Control Order and Insecticide Act and Rules Advice and counsel on legal implications, risks and liabilities of proposed transactions, regulatory and other matters and prepare brief and obtaining opinions from External counsels when required Support and coordinate with Auditors for all audits incl. Statutory, Internal, Cost and Secretarial Audits Support on Bank and borrowing documentation and ratings
